Unless stated otherwise, all quotations remain valid for 30 days. No purchase order shall be binding until confirmed by us in writing, at which point a contract is formed. All orders are subject to our standard terms and conditions unless otherwise agreed in writing.
Prices are ex-works (Incoterms 2020) and exclusive of GST or other applicable taxes unless specified. Payment is due 30 days from invoice date, unless alternative credit terms are agreed in writing. Late payment may incur interest charges at prevailing bank rates.
Delivery dates are estimates and not guaranteed unless expressly stated. Risk passes to the Buyer upon collection by the carrier or pickup from our premises. We are not liable for delays caused by carriers, customs, or force-majeure events (fire, strikes, pandemics, natural disasters, etc.).
Buyer must inspect goods within 7 days of receipt and notify us in writing of any shortage, damage, or defect. Failure to do so constitutes acceptance of the shipment. Claims must be supported by photographic evidence and relevant documentation.
We warrant that products conform to agreed specifications for 12 months from delivery date. Our liability is limited to repair, replacement, or credit of the defective item at our discretion; consequential damages, lost profits, and indirect damages are excluded to the maximum extent permitted by law.
In no event shall our aggregate liability exceed the contract price of the goods giving rise to the claim, except in cases of gross negligence or willful misconduct as permitted under applicable law. This limitation applies to all claims whether in contract, tort, or otherwise.
All drawings, specifications, tooling, processes, and trademarks remain our exclusive property and may not be reproduced, copied, or disclosed to third parties without prior written consent. Any improvements or modifications developed during the course of our business relationship shall belong to us.
Buyer agrees to comply with all applicable export-control, anti-bribery, environmental, and safety regulations relating to the purchase, resale, or use of the goods. Buyer shall indemnify us against any losses arising from their non-compliance with applicable laws.
These Terms are governed by the laws of India. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Kolkata, West Bengal. Before resorting to litigation, parties agree to attempt resolution through good-faith negotiations.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that achieves the closest economic effect.
